The Rough Collie Breed Specialist Club

Rules of the All Ireland Collie & Sheepdog Society

1                The Club shall be called The All Ireland Collie and Sheepdog Society, a specialist Rough Collie Club.

2                The objects of the Club shall be:
(A) To promote the breeding and exhibition of the Rough Collie as laid down in the standard and to urge the adoption of this type on breeders and judges etc, as the standard by which they should be judged.
(B) To offer prizes at Dog Shows for members of the Club.

3                The Club shall consist of a President, Vice-President, Chairman, Vice-Chairman, Hon. Secretary, Hon. Treasurer, Irish Kennel Club Representatives, and a Committee of eight members, to be elected at the Annual General Meeting, and an unlimited number of Members.  The Committee having full power to transact all business in connection with the above appointments as the position arises.  Three Officers and Three Members to form a quorum at all Committee Meetings.  The Chairman or Temporary Chairman of any meeting shall have an ordinary vote and a casting vote in the event of a tie.  Questions arising at Committee Meetings shall be decided by a majority of those present and voting.
(3A) All Officers and Committee shall be elected annually at the AGM and shall assume office on the completion of the said AGM.  Any candidate for election as an Officer or Committee Member shall have been proposed and seconded by members of the Society.  If a person is nominated and is not present, such nominations shall only be accepted if the written consent of the nominee the accept the position shall have been deposited with the Secretary prior to the commencement of the meeting, except under extenuating circumstances.
(3B) In the case of an Office becoming vacant, the Committee have the power to elect one of their members to fill the vacancy and to co-opt a member of the Society to fill the resulting vacancy on Committee or for any other Committee vacancy.

4                The committee will decide the amount of the membership subscription.  Subscriptions are payable up to August 30th and anybody who has not paid by that date will not be eligible to vote at the AGM of that year.  If not paid by August 30th of the following year (including arrears) membership is lapsed.

5                Candidates for membership may be proposed and seconded by any existing member of the Club, their admission to the Club to be decided by the Committee.  The Committee shall have the power to accept or reject applications by a simple majority.  In the case of rejections, monies shall be refunded.  Upon admission each new member shall receive a copy of the rules from the Secretary.  Applications to be made in writing on the Society's official form, to include a signed agreement to abide by the Rules of the club and the Rules and Code of Ethics of the Irish Kennel Club.
(5A) Members must have been fully paid-up Club Members for the previous three consecutive years before becoming eligible for election to the Committee

6                Club Property: The property of the Club shall be vested in the Committee, and in the event of the Club ceasing to exist, all properties shall be handed to The Irish Kennel Club Ltd., who shall act as custodians pending the ascertainment of the wishes of the donors as to their disposal.
Records:  The Secretary shall keep a proper list of names and addresses of Members, and minutes of all club meetings, i.e. Committee, Members, and General Meetings.  The members’ list shall be available to Members, to view at the Annual General Meeting.

7                The payment of an annual subscription by a member shall be taken as a full acquiescence in the rules by him or her, and shall therefore entitle that member to the full benefits of the Society, excepting those members who, by virtue of the fact that they were not members for longer than 30 days before an AGM, may attend such meeting but will not be entitled to vote thereat.

8                The Annual General Meeting will be held in Dublin in the month of October or, failing such, at a time and place appointed by the Committee.  The Secretary shall notify each fully paid up Member of the date of the AGM a minimum of fourteen (14) days beforehand.

9                A Special General Meeting shall be called if no less than one-third of fully paid-up members or 35 no., whichever is the higher, send a signed petition to the Secretary, stating the business to be discussed.  No other business than that shown on the Agenda shall be discussed at a Special General Meeting.  Members to receive 14 days notice in writing of such a meeting.  50% of members to form a quorum.

10             Resignation of Members: A Member may resign on giving notice in writing to the Secretary and any member whose resignation has been accepted or whose membership has lapsed and who wises to rejoin as a member must be proposed in the ordinary way, as if he or she had never been a member.
Expulsion of Members: Any Member who shall be expelled by The Irish Kennel Club Ltd. shall ipso facto cease to be a member of The All Ireland Collie and Sheepdog Society.  Likewise any member who shall be suspended by The Irish Kennel Club Ltd shall cease to be a member of the Club until such time as the suspension is lifted.  Any member whose actions or conduct is deemed injurious or likely to be injurious to the character or interests of the Club, the Committee may, at a meeting, the notice of which includes as an object of consideration the conduct of the member, determine that a Special General Meeting shall be called for the purpose of passing a resolution to expel that member.  Notice of the Special General Meeting shall be sent to the accused member giving him/her particulars of the complaint and advising him/her of the time and venue of the meeting in order that he/she may attend and offer explanation.  If at the meeting a resolution to expel is passed by a two-thirds majority of the members present, their name shall be erased from the list of Members and shall thereupon for all purposes cease to be a Member of the club.

11             All monies belonging to the Society, and all payments made by the Society, must be signed by the Treasurer after same has been sanctioned by the Committee.  The Treasurer shall keep a proper book of accounts of monies paid or owed, this subject to Audit annually and circulated to all members before the Annual General Meeting.  The Treasurer shall report the financial status of the Society to each meeting of the Committee.  The Treasurer shall maintain banking accounts in the name of the Society.

12             Judges for the Society's shows for the following year should be selected by draw from the committee approved list of judges.  The list will be compiled by a postal vote - wherein each fully paid up member may propose the names of two suitable judges who meet the AICSS judging criteria - and the list up-dated each year.

13             The rules of the club shall not be altered except at an Annual General Meeting or Special General Meeting.

14             The Irish Kennel Club Ltd. shall be the final court of appeal in all matters in dispute that affects the All Ireland Collie and Sheepdog Society.

15             The standard of the Rough Collie as approved by the Irish Kennel Club Ltd., and a copy of the rules of the Club shall be issued to all new members on joining the Club.

16             The Club Chairman shall not hold office for more than two consecutive years.

17             Honorary Members (Ex Officio): The Club shall, through its Committee, when it deems appropriate nominate Honorary Members, such nominations to be submitted for acceptance by the Members at the Annual General Meeting.
Officers and Committee may not hold positions as officers or committee on any other Rough Collie breed club governed by The Irish Kennel Club Ltd.  In addition, any member involved in the formation of another Rough Collie Breed Club shall cease to be a member of the All Ireland Collie and Sheepdog Society.

18             If a resolution to wind up the Club is passed at a Special General Meeting, subject to the approval of The Irish Kennel Club Ltd., a liquidator shall be appointed to:  Sell any Assets - Pay any liabilities - deal with any further assets.
